Chapter 9: Duties of Members of the Board of Directors

PRESIDENT

BYLAW 9-1.    DUTIES:

The President shall:
  1. Be the official representative of the National Organization.
  2. Serve as the Chief Executive Officer of the National Organization.
  3. Preside at all meetings of the General Assembly and the Board of Directors.
  4. Supervise the overall operations of the National Organization and travel on its behalf.
  5. Report to the General Assembly and Board of Directors
EXECUTIVE VICE PRESIDENT

BYLAW 9-2.    DUTIES:

The Executive Vice President shall:
  1. Be responsible for the overall membership growth and extension of Chapters.
  2. Monitor and coordinate the activities of one or more Vice Presidents.
COMMENTS ON BYLAW 9-2:
  1. The duties as described above are mentioned in case there is only one Executive Vice President.
  2. Responsibility could be added or deleted depending on the number of members on the Board of Directors.

VICE PRESIDENT

BYLAW 9-3.    DUTIES:

A Vice President shall:
  1. Carry out such duties as may be assigned by the President, particularly to monitor, coordinate and promote the growth and development activities related to JCI Areas of Opportunity in his assigned Chapters.
  2. Study the material received relating to such JCI Areas of Opportunity and advise Chapters, the President and the Board of Directors on matters arising from this study, which affect them or are of interest to them.
  3. Visit, communicate, and work with the Chapters assigned by the President to.
    1. Promote the purposes of Junior Chamber.
    2. Guide and assist Chapter officers in the development of their Chapters
    3. Give training in Chapter management
    4. Promote and give guidance in executing planned extension
    5. Ensure effective communications between assigned Chapters and the National Organization
    6. Promote among assigned Chapters programs adopted by the National Organization
SECRETARY GENERAL

BYLAW 9-4.    DUTIES:

The Secretary General shall:
  1. Be the administrative officer of the National Organization responsible directly to the President.
  2. Be responsible for the operation of the Secretariat and the implementation of policies according to the direction of the President.
  3. Give notice to the members of all meetings of the General Assembly and Board of Directors.
  4. Be responsible for keeping a permanent record of the minutes of such meetings; these records shall be open to inspection by members at all reasonable times.
  5. Be responsible for the preparation of an Annual Report on the activities and programs of the National Organization.
COMMENTS ON BYLAW 9 4:
The Secretary General of the National Organization occupies a full-time, paid position. In some National Organizations this position is assumed by a volunteer; in this case, the office is termed “Secretary.”
TREASURER

BYLAW 9-5.    DUTIES:

The Treasurer shall:
  1. Issue notices of dues payable.
  2. Be responsible for their collection and keep books of accounts of the National Organization.
  3. Be responsible for the disbursement of monies at the direction of the Board of Directors.
  4. Be responsible for the preparation of an Annual Report on the financial affairs of the organization and for the quarterly financial statements which should be distributed to all Chapters.
  5. Prepare and submit a proposed budget for the National Organization
All checks and other orders relating to the banking accounts of the National Organization shall be signed by the President or the Secretary General and shall be countersigned by the Treasurer.

GENERAL LEGAL COUNSEL

BYLAW 9-6.    DUTIES:

The General Legal Counsel shall:
  1. Serve as Parliamentarian to the Board of Directors and the General Assembly.
  2. Rule on matters of parliamentary procedure at the request of the presiding officer.
  3. Make sure that the JCI and National Organization Constitutions are respected at all times.
  4. Propose amendments to the National Organization Constitution if necessary.

  5. Review and approve the Chapter Constitutions.
COMMENTS ON BYLAW 9 6:
In very small National Organizations, the immediate Past President can serve as General Legal Counsel.
BYLAW 9-7.    PARLIAMENTARIAN:

In the absence of the General Legal Counsel, the President—with the concurrence of the meeting—shall appoint a Parliamentarian who shall serve for the period of the meeting.

DIRECTORS

BYLAW 9 8.    DUTIES:

The Directors shall:
  1. Implement, promote, coordinate, and supervise program or project activities within the terms of reference of their assigned responsibilities.
  2. Study information received relating to their responsibilities and recommend suitable action to the Board of Directors.
COMMENTS ON BYLAW 9 8:
  1. The National Organization should appoint at least four Directors responsible for Growth and Development, Training, Programs, Business, and International Affairs.
  2. The Directors should report to one of the EVPs.
